It's official: Electronic Arts has agreed to be acquired by an investor consortium for the sum of $55 billion. The all-cash transaction, the largest of its kind in history, will see EA becoming a privately held company as part of a leveraged buyout from Silver Lake, Saudi Arabia's Public Investment Fund (PIF), and Jared Kushner's Affinity Partners.
The terms of the agreement say that EA shareholders will get $210 per share in cash, which is a 25% premium on its current share price. EA's leadership is also expected to remain in place, at least in the short term. This means that CEO Andrew Wilson will continue to lead EA for the time being. The company will still also remain headquartered in Redwood City, California.
Today's press release claims that this "transaction positions EA to accelerate innovation and growth to build the future of entertainment." The reality though is probably quite different. Leveraged buyouts mean that the company being bought still retains all of its debt. Right now, Electronic Arts has about $20 billion in debt that needs to be paid back.
This being a leveraged buyout also means that Electronic Arts is at greater risk of bankruptcy. This is especially true if they fail to repay the debt that they currently owe. This debt also means that EA will be less financially flexible and less likely to take risk with games or products that aren't proven money makers. This debt also means that EA will be more vulnerable to any global general downturns, much like the one we're in the midst of right now.
In order to tackle this $20 billion in debt, it can be safely assumed that there will be some huge changes happening at Electronic Arts. These can include mass layoffs, possibility of reduced employee benefits, and selling off of various intellectual properties or entire studios that are currently under EA's umbrella. Furthermore, there will probably be a much greater push for monetization methods in games released by EA. You can probably expect to see more microtransactions shoved into their games. Yes, more than there already are. Though more unlikely, it's also possible that some future titles from EA will be sold piecemeal, with entire game modes possibly being sold separately at premium pricing.
For now, this is just speculation, but this has happened enough times in the past that there is a basis for this speculation. You don't spend $55 billion on something to not expect a hefty return on that investment.
That also isn't getting into the issue that is the group of investors that make up the consortium. As we noted previously, there are several red flags with the investors involved in this transaction, especially from PIF and Affinity Partners.

Transaction Details
The transaction was approved by EA’s Board of Directors, is expected to close in Q1 FY27 and is subject to customary closing conditions, including receipt of required regulatory approvals and approval by EA stockholders. Following the close of the transaction, EA’s common stock will no longer be listed on any public market.
The transaction will be funded by a combination of cash from each of PIF, Silver Lake, and Affinity Partners as well as roll-over of PIF’s existing stake in EA, constituting an equity investment of approximately $36 billion, and $20 billion of debt financing fully and solely committed by JPMorgan Chase Bank, N.A., $18 billion of which is expected to be funded at close. Each of PIF, Silver Lake, and Affinity Partners plan to fund the equity component of the financing entirely from capital under their respective control.
Upon completion of the transaction, EA will remain headquartered in Redwood City, California and continue to be led by Andrew Wilson as CEO.
