That being the same what it comes down to is clock speed versus price. You can understand that right? Is that too difficult for you?

Architecturally almost nothing. Socket 940 opterons have an error correcting ram memory controller, meaning they require ECC ram to operate. They also have more hypertransport links, so that they can work in multi socket 2 or 4 way motherboards.
On top of that almost no difference, Opterons are however more the creme of the crop of the chips, and usually operate at lower voltages (less heat) than an Athlon64.
Socket 939 Opterons are 100% identicle to Athlon64, except they operate at a slightly lower voltage, and are "possibly" binned better, meaning they are again, the creme of the crop that comes out of the fab. Additionally all Opterons have 1MB cache, but so do many Athlon64s.
FX chips are essentially the same as any other Opteron or A64, except that upon release they are always operate at the fastest clock speed AMD is willing to sell. Another difference is that they are unlocked, meaning that overclockers have a little bit more headroom to manipulate the clockspeed. A standard Intel chip is locked at one multiplier and cannot be manipulated, and all AMD64 chips are locked upwards, but not downwards (FX is the exception). This means that a 3200+ Venice with a multiplier of 10, can be set lower...9 8 7 6 etc..., but not higher. This is to counter piracy (mostly in Asia) where lower clocked chips would be overclocked without the buyer knowing.
Essentially all overclocking outside of FX chips requires stressing different components such as ram, mobo etc... it becomes less stable and harder to fake if the FSB is @ 220mhz instead of 200mhz and so on and so forth. Piracy/rebadging still happens, but locked multipliers pretty much keep it from being a mainstream problem.
AMD gets away with selling the FX because they figure no pirate operation will be able to get much of a profit rebadging $1000 chips. FX cater towards enthusiasts basically... really rich enthusiasts, or really rich suckers IMO. With motherboards able to handle 300mhz + on the motherboard FSB, and ram running at a divider offering insignificant performance hits, it is hard to justify the price tag just for an unlocked multiplier, makes more sense to buy a mid to low end single or dual core and OC the crap out of it the standard way.
Opterons are more attractive to overclockers because of low voltage and the perceived (probably accurate to some degree) "creme of the crop" status. They are tremendous overclockers and also offer 1MB cache.
