No it won't. If you want to change to PC3200 (or any other speed of DDR for that matter), you will first need to get a new motherboard. While RD-Ram and DDR may both have the same pin count, the PCB for each is different.Comment

You cant upgrade you ram. What you should do is sell the ram off on a hardware forum or ebay. Some people will pay a pretty penny for RDRAM.
Use the savings to build a new system, or move to a dual channel DDR based motherboard. A i865 based system wouldnt be much money.Comment

Could someone reccommend me a good Mobo that has agp 8x, some good 2gb of ram, and a cheap processor that is in between cheap & gaming. thanks I'm trying to keep the price under 350 US.
Amd or intel w/e works best

You really should be taking the advice given.
You say you now have a budget of >$350...added to the sales of your current hardware + a litle extra savings will yeild an entire new comp.

see, what you could do, is keep your current processor and reuse it in the new mobo and RAM.
