I have Intel Celeron 4 2.2 GHz, ABIT BH7, 2x512MB DDR, one is PC3200, other is PC2700, 1 GB RAM, Radeon 9700 Pro 128 MB .... here is my config http://techno.vizio.biz/bh7overclock.zip .... the game is running really jerky, even in 800x600, also with some sound glitches... definitely not okay, it should be much better... I tried to overclock this "overclockable" board... but with no success, it won't boot, tried lot of things.. Have properly installed XP, with no running background processes... FarCry is woking okay... what is the problem, please help..

The Celeron is killing you.
Celerons and games don't mix. Your RAM is running at 2700 speeds (333) so thats another area of slow down. No sound card either? That takes system resources away.
The biggest thing is the Celeron though.Comment

tried 800x600, lowest details, doesn't help... can someone help me to overclock my board here, I tried lots of things, but every time i have to clear cmos because machine won't boot... aquamark3 benchmark says: gfx - 3303, cpu - 4099, which is low, ain't it?

Unfortunately I don't think your celeron will OC much at all. If it is older which it appears to be, Intel locked the multiplier making it much harder to OC at all. You can try places like
