I hesitate to even post this, as this is a boarderline cheap trick, but so many people seem to have problems with helicopter teams capturing flags by hovering above them that I thought I'd throw it out there.
Quick and dirty
C4 sticks to objects, we know this. But most people I've seen haven't realized you can stick C4 UP a flag pole, not just at the base. With practice, you can toss it so it sticks to the very top. Do this on two sides, and put two at the base of the flag, and any infantry or Helo that tries to capture the flag will be toasted.
More sophisticated and arguably more fair
This is the Nero's Rome trick. My favorite Ranked server to play on has a rule against C4 and claymores on flags, so this is a loophole. Most flags are near structures, especially in the urban maps. Toss C4 onto the near rooftops then seek shelter inside or behind cover. This is a nice trick as it isolates wash-damage to above the roofline, making friendly casualties unlikely (unless you are dumb enough to hit the detonator when a friendly helo is hovering above).
Personally, I'm a huge fan of Helo teams and love piloting Blackhawks. However, I recognize the need for a counter-strategy and this seems very economical. One Spec-Ops per flag with eyes on can keep it safe from a helo. If your team works together well, you'll get reinforced before they can respawn and try again. It also helps to have a supply drop so you can replenish your C4 if you can talk your commander into it.
