My old system died so I bought a new one that came with Vista 64-bit. I d/l the localization files for 1.5, put them in the proper folder, start game, but notice the localization files don't work. I go back and look at the english.utxt file and see all the added mods so I don't know what localization file the game is using. It's very odd. Any ideas?

make sure to completely move (or delete) the old localization files somewhere else. BF2 will still access them even if they are renamed. you cant keep them in the same folder.
Other than that, they should work fine. I'm on vista x64 and mine work."Crunch's First Officer"
