ok my friend has an AMD Athlon 64 3400+ 754, Lanparty UT Nf3 250gb s754, 1gb pc3200 ram and is wondering what too change in the bios and what to?

Posting a question like that on a forum like this is one hell of a bad way to start,since you will only attract 500 different opinions from 500 fanboys.
Go to google and look up some of the dedicated overclocking communities such as extremeOC and [H]ardforum.

Well if i were you upgrade to 2GB of ram (2 pcs of 1GB sticks) in the bios set your AGP Aperture Size to 128.

Best advice ever, please don't dive into OCing blind. Read as much as you can then go and re-read it. You'll be playing with settings never meant to be touched, and that can cause irreversible damage to your computer. I'm not trying to scare you away from the practice, I just want to make sure you have a positive experience.
